Terms of Service

1. Acceptance of Terms

By using the Utilify website (utilify.io), MCP server, or API (the "Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Utilify is a utility setup service that helps users find, compare, and sign up for utility providers (electricity, internet, gas, water, trash, and home services) at a given US address. The Service is available through AI agent integrations (MCP server) and a REST API.

3. Free Service

Utilify is free for consumers. We earn revenue through affiliate commissions and referral fees from service providers when users sign up through our tracked links. You are never charged by Utilify.

4. Affiliate Disclosure

Utilify has affiliate relationships with utility and service providers. When you sign up for a provider through a link provided by Utilify, we may earn a commission. This is disclosed in every response that contains affiliate links. Our recommendations consider fit, quality, and value — not solely commission rates.

5. No Guarantee of Availability or Accuracy — Use at Your Own Risk

Utilify is a free informational resource, not a regulated utility broker, and is not an agent of any provider. The information on this site is compiled from public sources, third-party data feeds (including PowerToChoose, FCC Broadband Data Collection, TCEQ/SDWIS, and TX Railroad Commission), and direct outreach to providers. It may be out of date, incomplete, or simply wrong. Data is provided on an "as is" and "as available" basis without warranty of any kind, express or implied, including warranties of accuracy, merchantability, fitness for a particular purpose, or non-infringement.

Specifically, and without limitation:

• Provider plans, rates, contract terms, early-termination fees, renewable percentages, and availability change frequently and may not reflect the most current information
• The gas, water, trash, and electricity distributor assigned to a specific ZIP code may be incorrect — service territories split at the street or parcel level and our assignments are best-effort heuristics
• Coverage at a specific address may differ materially from ZIP-code-level estimates
• Utilify does not guarantee that any provider will accept your enrollment, honor a displayed rate, or deliver the advertised service
• Final pricing, terms, conditions, deposits, credit requirements, and effective dates are determined by the provider, not by Utilify
• Utilify does not verify that any plan you select is suitable for your usage, household size, credit profile, tenancy, or move-in timing

You are solely responsible for independently verifying every plan detail, rate, term, and availability directly with the provider before signing up, and for your final utility selection. Utilify strongly recommends that you read the Electricity Facts Label (EFL), Terms of Service, and Your Rights as a Customer (YRAC) document issued by the provider for any electricity plan, and the equivalent documentation for gas, internet, water, and trash service, before enrolling. If any plan or provider information shown on Utilify differs from what the provider presents at signup, the provider's information governs.

6. Third-Party Providers

When you click a signup link, you leave the Utilify Service and interact directly with the provider's website. Utilify is not responsible for:

• The provider's terms of service, privacy practices, or data handling
• The quality of service delivered by the provider
• Billing disputes, service outages, or contract issues with the provider
• Any information you provide directly to the provider

7. User Responsibilities

You agree to:

• Provide accurate address and contact information
• Use the Service only for your own utility setup needs
• Not attempt to manipulate, reverse-engineer, or abuse the Service
• Not use the Service to set up utilities at an address you do not have the legal right to occupy

8. API and MCP Server — Acceptable Use

Utilify exposes a public REST API at /api/* and a Model Context Protocol (MCP) server at /mcp, along with supporting discovery endpoints (/.well-known/mcp/server-card.json, /openapi.json, /.well-known/ai-plugin.json, /llms.txt). These are offered without authentication and without charge so that AI agents, developers, and automation tools can integrate Utilify on behalf of end users. Continued access to these endpoints is conditional on the following rules.

Permitted use. You may call the API and MCP server to:

• Power AI assistants, chatbots, or agents that help a specific end user compare utility plans, build a move-in checklist, or find promotions at a real US address
• Build personal, research, educational, or non-commercial prototypes and integrations
• Conduct reasonable testing and development of Utilify integrations

Prohibited use. You may not, and may not assist or permit any third party to:

• Systematically download, scrape, mirror, or index the plan database, provider catalog, ZIP coverage data, pricing data, or any other dataset made available through the Service — whether by the API, MCP, the sitemap, or crawling the site
• Resell, redistribute, sublicense, or republish plan, pricing, or provider data obtained from the Service, in whole or in part, for commercial or competitive purposes
• Use the Service to build, train, fine-tune, or evaluate a competing utility-comparison, utility-signup, or energy-marketplace product
• Generate automated, fraudulent, or synthetic signup events, affiliate clicks, or promotional-code redemptions, or otherwise pollute referral metrics
• Construct affiliate redirect URLs (/go/*) directly rather than calling initiate_signup, or otherwise bypass the tracked signup flow
• Circumvent or attempt to circumvent rate limits, access controls, bot filters, or abuse protections — including by rotating IP addresses, distributing requests across accounts or infrastructure, or masking User-Agent strings
• Attempt to reverse-engineer the Service, probe for vulnerabilities, or access data that is not made explicitly public
• Use the Service in a manner that interferes with its operation or the experience of other users, including volumetric denial-of-service attempts
• Initiate signups or create contact records on behalf of any person who has not explicitly requested assistance from you or your product
• Remove, obscure, or misrepresent the FTC affiliate disclosure displayed with Utilify's responses

Rate limits. REST API endpoints under /api/* are rate-limited to 60 requests per minute per IP. The /mcp endpoint is subject to a comparable per-IP limit that may change without notice. Repeated violations may result in longer blocks, IP range bans, or termination of access.

Changes and reservations. Utilify may at any time, without prior notice: add, remove, rename, or change the signature of any MCP tool or API endpoint; introduce authentication, pricing, or usage tiers; change rate limits; require a formal partnership agreement for high-volume or commercial integrations; and block specific clients, IPs, or products that violate these terms or that Utilify reasonably believes may violate them.

No service-level guarantees. The API and MCP server are provided on an "as available" basis with no uptime, latency, accuracy, or data-freshness guarantees. Utilify does not commit to backward compatibility for unreleased or experimental endpoints.

Volume inquiries. If your product routes material agent-driven volume to Utilify (roughly 1,000 calls per day or more), or if you intend to build a commercial product on top of the Service, contact [email protected] to discuss a partnership. Continued high-volume use without such an agreement may be treated as a breach of these terms.

Enforcement. Utilify may investigate suspected violations by reviewing server logs, request patterns, affiliate-network reports, and other lawful means. Remedies for violations include, without limitation: throttling, IP or account blocking, invalidation of affiliate commissions, clawback of paid commissions, termination of access, and legal action for fraud, trademark infringement, or breach of these terms.

9. Intellectual Property

The Utilify name, logo, website content, API design, and MCP tool definitions are the property of Utilify. Provider names, logos, and trademarks belong to their respective owners.

10. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AVAILABILITY, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UTILIFY, ITS OFFICERS, EMPLOYEES, AFFILIATES, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST SAVINGS, LOST DATA, HIGHER UTILITY BILLS, EARLY-TERMINATION FEES, DEPOSITS, BUSINESS INTERRUPTION, OR FAILURE TO CONNECT SERVICE, ARISING OUT OF OR RELATED TO:

• Your use of, or inability to use, the Service
• Any errors, inaccuracies, omissions, or out-of-date information in the plan, rate, provider, territory, or coverage data shown on the Service
• Any decision you make, or fail to make, in reliance on information from the Service
• The act or omission of any provider, including but not limited to failed signups, service outages, billing disputes, contract terms, or marketing practices
• Any unauthorized access to or alteration of your data
• Any third-party conduct or content on the Service

IN ANY EVENT, UTILIFY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID UTILIFY DIRECTLY IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100. Because the Service is free to consumers, (A) will typically be zero.

Some jurisdictions do not allow the exclusion of implied warranties or the limitation of liability for consequential or incidental damages, so some of the above limitations may not apply to you. In those jurisdictions, Utilify's liability is limited to the smallest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Utilify, its officers, directors, employees, contractors, agents, affiliates, successors, and assigns from and against any and all claims, demands, actions, investigations, proceedings, damages, judgments, liabilities, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your use of, or access to, the Service
• Your reliance on any plan, rate, provider, coverage, territory, or eligibility information shown on the Service, regardless of whether that information was accurate at the time it was published
• Any signup, enrollment, switch, move-in, or cancellation you initiate or complete through or after using the Service, including any dispute with a utility provider about rates, terms, deposits, early-termination fees, service quality, or billing
• Any decision you made in reliance on information shown on the Service
• Any content or data you submit to the Service
• Your violation of these Terms, of any applicable law or regulation, or of the rights of any third party (including intellectual property, privacy, or consumer-protection rights)
• Your breach of any representation, warranty, or agreement made in these Terms

Utilify reserves the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with Utilify's defense of such claims. You agree not to settle any such matter without the prior written consent of Utilify. This indemnification obligation will survive termination of these Terms and your use of the Service.

11a. Assumption of Risk

You acknowledge and agree that you are using the Service voluntarily and at your own risk. You accept full responsibility for independently verifying every piece of information shown on the Service — including plan details, rates, contract terms, provider identity, and service availability at your address — directly with the provider before acting on it. You expressly waive any claim against Utilify arising from your reliance on information shown on the Service without such independent verification.

12. Modifications

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
